Article 45 — Article (45) Management of the General Partnership

1. The General Partnership shall be managed by all the partners. Every partner in a General Partnership shall act as an agent of both the Company and other partners in respect of the business of the Company, unless the management is delegated under the MOA of the Company or an independent contract to one or more partners or to a person who is not a partner. 2. Any partner, who is not a manager, may not be involved in the management affairs unless otherwise agreed. However, such partner may request access to the business activities of the Company and its books and records, and may give observations thereon to the manager of the Company. 3. Resolutions relating to the business of the Company shall be unanimously adopted by all the partners, unless the MOA of the Company provides otherwise.
