1. The auditor may resign during his term of office by serving a written notice upon the Company and the SCA. Such notice shall terminate his audit mandate with the Company as of the date when the notice is given or any later date stated in the notice. 2. An auditor that resigns for any reason shall file with the Company and the SCA a statement giving reasons for his resignation. The Company's board of directors shall call the General Assembly to convene within 10 [ten] days of the date of resignation to consider the reasons for resignation and to appoint another auditor and determine his fees.
