1. The contract shall not be concluded unless the parties agree on the essential elements of the obligation and on the other legitimate conditions that the parties consider essential. 2. If the parties agree on the essential elements of the obligation and on the other legitimate conditions that they consider essential, and they reserve secondary matters to be agreed upon later and do not stipulate that the contract shall not be concluded in the absence of agreement on these matters, the contract shall be deemed concluded. If a dispute arises over matters not agreed upon, the court shall rule thereon according to the nature of the transaction and the provisions of the law.
