Define the family's objectives before selecting a vehicle
For a business owner, property holder or investor, map assets and jurisdictions, family and tax status, debt and security, desired powers, income and capital rules, and death, incapacity, divorce, dispute and exit scenarios. Asset protection does not mean concealment or removing assets from existing creditors: transfers remain subject to validity, good faith, insolvency, tax and beneficial-ownership review.

A Russian personal foundation records founder intent and beneficiary rules
A personal foundation is a unitary non-profit organisation and a separate legal person. Its charter and management terms design governing bodies, appointment and replacement, beneficiaries or beneficiary classes, distributions, conflicts and continuity after the founder's death. Transferring an asset changes ownership and requires separate review of corporate restrictions, consents, tax, family rights, creditors and banks. Registration alone does not create absolute immunity.

A closed-end fund separates investment management from family rules
A Russian closed-end mutual fund is not a legal person: assets are held under trust management by a licensed management company and investor rights are represented by units. Fund rules, investor eligibility, permitted assets, valuation, specialised depositary, investment committee, related-party transactions, finance and exit are designed for the portfolio. The fund and the licences of its manager and depositary should be verified in Bank of Russia registers.

A personal foundation and a fund can be combined, but need not be
In a combined model the personal foundation may hold fund units and preserve long-term family rules, while the fund holds an eligible portfolio under professional management. The layers are justified where governance, succession, family branches or complex assets require them. For a simple company or single property, direct ownership, an LLC or JSC, a will and a shareholders' agreement may be more proportionate.
A Russian personal foundation, a closed-end investment fund and a foreign structure perform different functions. Private wealth architecture starts with the family's assets, control, succession, tax, creditor and banking map rather than a preferred legal wrapper.

A foreign trust, foundation or holding company is a separate cross-border layer
A Russian personal foundation is not a redomiciled foreign trust or foundation, and a foreign company does not replace Russian succession planning. Each foreign element requires analysis of governing law, tax residence and effective management, CFC, income and distributions, currency and notification duties, CRS/FATCA, sanctions, recognition of powers and succession where the asset is located. The structure needs a demonstrable purpose and consistent documents.

Banks examine substance, not the structure's label
For a personal foundation, manager, SPV or foreign vehicle account, the bank identifies the founder, bodies, unitholders, beneficiaries and controllers, source of wealth and each contribution, account purpose, countries, counterparties and expected activity. Registry evidence, decisions, management terms, accounts, tax forms, contracts and a coherent banking narrative are prepared. No structure guarantees account opening or retention.

Which is better for asset protection: a personal foundation or a closed-end fund?
There is no universal answer. A personal foundation focuses on ownership, family rules and succession; a fund focuses on regulated investment management. Protection depends on timing, debt, control, legal grounds and good faith.
May a personal foundation hold fund units?
The model can work subject to the fund rules, investor qualification and transfer restrictions, corporate, tax and banking requirements.
Does a personal foundation replace a will?
No. The charter, management terms, will, marital documents and shareholders' arrangements must be aligned.
Can foreign assets be included?
Each country requires separate transfer, tax, CFC, disclosure, banking and recognition analysis. Russian registration does not resolve these issues automatically.
