Article 8 of the Commercial Register Law requires a sale or transfer of a commercial store to be registered in the commercial register within one month of the transaction. The legislature did not merely prescribe a formal contract but made the transfer’s validity contingent on registration within the statutory period.

Applicability

The principle concerns transfer of a commercial store or enterprise, not automatically a share sale. Current registration legislation, transferred assets, licences, creditor rights and any special formalities must be checked.
