Commercial Companies Law — Article 203

A member of the board of directors of the company shall not participate in the management of any other company which carries out similar businesses. The members of the board of directors and the Executive Management of the company shall not perform for their benefit or for the benefit of third parties any business similar to the company’s business, or to use assets or funds of the company for their benefit or for the benefit of third parties without the prior approval of the ordinary general meeting, and whoever violates the provisions of this Article shall be liable to the company for any damage sustained by it.
