Commercial Companies Law — Article 185

The board of directors shall be prohibited from performing the following acts unless it is expressly authorized to do so by the articles of association of the company or by a resolution of the ordinary general meeting: 1. make donations, other than donations of small value and customary, which the interest of the business requires. 2. create a mortgage or a pledge on the assets of the company, except for securing its debts incurred in the ordinary course of its business. 3. guarantee the debts of third parties, with the exception of the guarantees that are entered into in the ordinary course of business with the object of achieving the company’s objectives.
