Subject to the limits provided for in this Law and the articles of association of the company, the board of directors shall have full authority necessary for management of the affairs of the company, and the board shall implement the resolutions of the general meeting and take the necessary actions in respect thereof. The board may authorize its chairman or one or more committees formed from among its members to carry out some of its functions, unless the articles of association of the company provides otherwise.
