Commercial Companies Law — Article 176

The extraordinary general meeting shall have the following functions: 1. amending the articles of association of the company. The amendment to the articles of association shall not be effective, unless it is approved by the Concerned Body in accordance with the procedure specified by the Regulations, and the company must file a copy of the amended articles of association with the Registrar within fifteen (15) days of the date of approval thereof by the Concerned Body. 2. disposal of the fixed assets of the company or a part thereof, the value of which amounts to twenty five percent (25%) or more of the net value of the assets of the company. 3. conversion, merger, dissolution or liquidation of the company.
