Article 626

A company shall be dissolved by the withdrawal of a partner if its term is not fixed, provided that the withdrawing partner notifies their intention to withdraw to the other partners before the withdrawal, and that their withdrawal is not tainted by fraud or made at a time that would cause harm to the company or the partners, with due regard to the following: 1. It may be agreed that the company shall continue among the remaining partners upon the withdrawal of one of them, and that a new partner may be introduced to replace the withdrawing partner, or that the remaining partners shall acquiring the share of the withdrawing partner, each in proportion to their share or contribution to the capital, unless otherwise agreed. 2. If the company consists of two partners, and in cases where the company is permitted to be formed by a single person, the remaining partner may continue the company after the withdrawal of the other partner, provided that the necessary procedures are taken to convert the company into the new form in accordance with the procedures followed by the competent authorities.
