The following conditions are required for a legal set-off: 1. Both parties shall be both creditor and debtor of the other. 2. The two debts shall be identical in kind, description, maturity, and strength or weakness. 3. Its implementation shall not prejudice the rights of third parties, whether the cause of the two debts is the same or different.
