Legal issue

An LLC has separate legal personality and a member is liable for its debts only to the extent of the member’s capital share, without recourse to personal assets.

02

Published principle

The Arabic text published by the Supreme Court is the primary source. The English translation was published by the Technical Bureau; Russian and Chinese are unofficial Smart Global Capital editorial translations.

This is a published legal principle—an extract selected by the Supreme Court of Oman Technical Bureau—not the full text of the judgment.

A limited liability company possesses legal personality separate from its members. Its members are therefore liable for the company’s debts only to the extent of their respective shares in its capital, and that liability does not extend to their personal assets.

03

Applicability

This is a general limited-liability rule and does not exclude a personal guarantee, the member’s own wrongdoing, abuse of form, commingling or special statutory liability. This is an account of the published principle, not a full judgment translation.
