Legal issue

A natural person authorised to sign for a supplier may bear personal criminal and civil liability as a statutory “supplier”; the LLC’s limited-liability status does not by itself shield that person.

02

Published principle

The Arabic judgment published by the Supreme Court is the primary source. The Russian, English and Chinese texts on this page are unofficial Smart Global Capital editorial accounts.

The official source contains the full judgment together with its published headnote and legal rule; the editorial account does not replace the Arabic original.

In consumer-protection cases, liability of a natural-person supplier turns on whether that person was authorised to sign for the supplier and falls within the statutory supplier definition. Such a person may bear criminal and civil liability. The propositions that an LLC member is liable only to the extent of their interest and that company assets are separate from members’ assets do not defeat the authorised natural person’s own liability in that capacity.

03

Applicability

Liability rests on the person’s proved role as the authorised natural-person supplier and the established offence elements, not merely share ownership or office. The judgment neither generally pierces the corporate veil nor makes every signatory automatically liable.
