Creditors of the company shall be entitled to have recourse against it for repayment out of its property, and they shall also be entitled to have recourse against a partner for repayment out of his/her private property and all partners shall be jointly liable to the company’s creditors, and the property of a partner shall not be subjected to execution by reason of the company’s debts except after obtaining a final judgment against the company, serving notice on it and its failure to settle within a reasonable time. The judgement passed against the company shall constitute an evidence against the partner. If a partner settles a debt of the company, he / she may have recourse against the company for the debt settled by him/her and he / she may also have recourse against the other partners, each according to his/her proportion of the debt. If one of the partners is insolvent, the partner who has settled the debt and the other solvent partners shall bear the consequence of such insolvency each according to his/her proportion.
