Commercial Companies Law — Article 252

If notices of intent to purchase the shares are received from more than one shareholder, during the period specified in Article 251 of this Law, which are compliant with the terms and the total number of the shares intended to be purchased is greater than the number of the shares offered for sale, the following shall be observed: 1. the shares offered for sale shall be allocated among the shareholders in proportion to their shares in the share capital of the company. In the event of existence of fractions, the nearest whole number to the fractions shall be considered. 2. If a shareholder requests to purchase less than the proportion of the shares to which he/she is entitled, the number of the shares he/she has requested to purchase shall be allocated to him/her and the remaining shares shall be divided among the other shareholders in accordance with the provisions of the preceding paragraph.
