Commercial Companies Law — Article 172

The annual ordinary general meeting shall be convened within ninety (90) days of the end of the financial year of the company. The functions of the annual general meeting shall particularly include the following: 1. study and approval of the board of directors’ report on the activities of the company and its financial status during the expired financial year. 2. study and approval of the board of director’s report on the organization and management of the company, during the expired financial year. 3. study and approval of the auditor’s report on the financial statements of the company for the expired financial year. 4. election of the members of the board of directors and removal thereof. 5. study and approval of the proposed distribution of dividends to the shareholders. 6. approval of the remunerations and sitting fees of the members of the board of directors. 7. appointment of the auditor for the new financial year, and determining his/her fees.
