Commercial Companies Law — Article 169

A member of the board of directors shall not represent a shareholder, or else the proxy will not be valid. All the members of the board of directors shall attend the general meetings, and the general meeting may censure any member of the board who does not attend without an acceptable excuse. The absence of all or some of the members of the board shall not affect the validity of convening the general meeting as long as it has satisfied the quorum for its convening.
