Commercial Companies Law — Article 140

If the shares of increase of the share capital are offered for subscription, each shareholder shall have a preferential right to subscribe for such shares or to waive such right according to the procedure and rules specified by the Regulations. If these shares or part of them are not subscribed for by the shareholders within the specified period, the board of directors of the company shall offer such shares for subscription pursuant to the provisions of the Capital Market Law, or reduce the amount of the increase of the share capital by an amount equal to the value of the shares that have not been subscribed for. The ordinary general meeting may resolve to offer the shares of increase directly for public subscription without offering them in advance to the shareholders of the company.
