A company shall have an issued share capital and its articles of association may specify an authorized share capital exceeding its issued share capital. The share capital of a company shall be represented by shares that are tradable in the manner prescribed by law. A company shall not issue “founder’s shares”, “concessionary shares” or any other securities which grant the founders or any other person a right to any part of the company’s earnings or profits without having made an appropriate prior contribution to the share capital.
