Companies, LLCs, exempted limited partnerships and foundation companies use different governance documents, participants and filing regimes.

A foundation company is a special company form rather than a trust; its constitution and bylaws must allocate corporate powers and purposes coherently.

From 1 April 2025, custody and virtual-asset trading platform services require a CIMA licence, while other VASP functions remain subject to their own registration analysis.

Banking starts with an evidenced structure

A bank assesses more than a certificate of incorporation. It expects coherent source-of-wealth and source-of-funds evidence, business purpose, contractual model, tax position, counterparties and payment corridors. A trust or foundation also requires transparent disclosure of the settlor or founder, trustee or council, protector, beneficiaries and controllers.
