1. Board resolutions shall be passed by a majority of votes; in the event of equal votes, the chairman shall have the casting vote. 2. Notwithstanding the provision of Article [156.2] of this Decree Law, the board of directors may pass any resolutions by way of circulation, in accordance with the conditions and procedures to be established under a decision of the SCA.
