1. A company shall be dissolved by the loss of all its assets or of a substantial part thereof, such that there is no benefit in its continuation. 2. If one of the partners has undertaken to contribute a specific thing in kind and that thing perishes before being contributed, the company shall be dissolved with respect to all partners.
