Article 92 — Article (92) Formation and Convention of General Assembly

Part Three: Limited Liability Company · Chapter Three: General Assembly

1. The limited liability company shall have a General Assembly made up of all the partners. The General Assembly shall be convened by a call of the manager or the board of directors at least once in the year during the four months following the end of the company's fiscal year. The General Assembly shall be convened at the time and place described in the Notice of Meeting. 2. The manager, or the person authorized by the managers, shall call a General Assembly Meeting upon the request of one or more partners who hold at least [10%] of the shares of the company's capital.
