Company registration in itself does not confirm a foreign source of profit and does not guarantee an account. Before establishment, the location of key operations, people and decisions, contracts, related parties, FSIE, licenses, payment countries and source of funds documents are determined.
Hong Kong is a special administrative region of the People's Republic of China with a separate common law system, its own courts, tax and currency systems. Mainland China and Hong Kong have different corporate, tax, currency and data regimes; they cannot be combined into one jurisdiction.
Profits tax applies to profits arising in or originating in Hong Kong. For corporations, the two-tiered regime provides 8.25% on the first HK$2 million assessable profits and 16.5% on excess; In a group, the preferential level is usually used by only one nominated connected entity. The source is determined by the facts of transactions, and not by the place of registration or bank account.
Open detailed section →For MNE entities, foreign interest, dividends, IP income and disposal gains received in Hong Kong may be subject to FSIE. The exemption requires an applicable exception: economic substance, participation, nexus or intra-group transfer relief. The formula “offshore = 0%” without source analysis and FSIE is erroneous.
Open detailed section →A typical private company limited by shares is registered through the Companies Registry simultaneously with business registration. A name, articles, member, at least one individual director, company secretary and registered office in Hong Kong are required. Foreign residence of a member or director is not prohibited in itself.
Open detailed section →The company maintains statutory registers, Significant Controllers Register and accounting records, submits annual returns and notifies of changes. The Secretary must comply with local requirements, and the designated representative provides law enforcement access to the SCR. The nominal layer does not override the disclosure of actual control.

The bank checks UBO, business purpose, countries, contracts, source of wealth/funds, expected turnover and real connection with Hong Kong. For simple and transparent cases, the process may take several days, but the timing and decision depend on the individual bank.

Tax concessions and exemptions do not arise automatically: eligibility, SFC perimeter, manager, substance, investment activity and ownership are checked.
