1. The founder is every person who signs the MOA of the Company and holds a ratio of its share capital in cash or provides in-kind contributions at the time of incorporation, subject to the provisions of this Decree Law. 2. The founder shall be liable for any damage suffered by the Company or third parties due to any breach of the incorporation rules and procedures. The founders shall be jointly liable for their obligations. Any person delegated by any other person for the incorporation of the company shall be held personally liable if he fails to state the name of the principal or if the instrument of delegation is proven to be invalid.
