Governing law and forum are chosen together

Federal/onshore law, DIFC law, ADGM law or foreign law provide different rules of interpretation, remedies and procedures. Onshore court, DIFC/ADGM court or arbitration seat are selected separately. The selection must take into account assets and future performance.

Offer, acceptance and electronic transaction

Counterparty and signatory powers

Before the transaction, license, register, ownership, UBO, financial status, sanctions and court cases are checked. The signature must be based on constitutional authority, corporate resolution or valid POA.

Commercial sale: item, price and delivery

Commercial Transactions Law requires a clear definition of the product, price and payment, place and time of delivery, notices and dispute mechanism. Specification, quality, inspection, acceptance, warranty and remedies turn common words into a manageable process.

Incoterms don't solve the whole contract

The selected Incoterm with the exact named place distributes delivery, risk, carriage and part of the customs obligations, but usually does not specify title, payment, product compliance, sanctions, VAT or remedies.

Importer of record and customs circuit

Before shipment, the importer/exporter of record, customs code, HS classification, origin, valuation, permits and prohibited/restricted goods are determined. Free-zone movement and mainland import are different operations.

VAT and price

The standard VAT is 5%, but exports can only have a zero-rate if the conditions are met and there is evidence. The Contract must determine whether the price includes VAT, who issues the tax invoice, who bears the import VAT, and what happens when tax qualifications change.

Agency, distribution and market access

A regular distribution contract and a registered commercial agency have different consequences. Exclusivity, territory, online sales, targets, IP, stock and termination are analyzed taking into account Federal Commercial Agencies Law and competition rules.

Payment, credit risk and collateral

Payment clause is associated with delivery documents and banking instrument. Advance, open account, letter of credit, guarantee, retention of title and credit insurance manage different risks.

Evidence file is created at runtime

Commercial obligations can be proven through various means, but a structured file reduces the risk. Each delivery or milestone must have a contract version, approvals, delivery, acceptance, invoice, payment and notices.

Default and dispute readiness

In case of violation, the party shall comply with notice, cure, mitigation and preservation of evidence. Limitation period depends on claim; The Commercial Transactions Law contains a five-year general guideline for a number of merchants' obligations and specific shorter periods.
